Sports Digital Network (SDN) - Terms & Conditions

Effective Date: October 27, 2025

These Terms and Conditions form a binding agreement between Sports Digital Network Ltd. (SDN, we, our) and you, the advertiser or buyer (you, your). They apply to all advertising campaigns purchased through the SDN self-serve platform.

1. Campaign Overview

SDN provides access to local advertising opportunities across its network of digital and on-site media locations. Each campaign includes ad placement for the selected venue or venues, date range, and creative specifications shown at the time of purchase. Availability may vary by venue and date.

2. Payment Terms

All campaigns must be paid in full at the time of purchase. Payments are processed securely through the SDN platform. Prices are in Canadian dollars and exclude applicable taxes, which are added at checkout. A receipt is emailed after payment is confirmed.

3. Campaign Changes and Cancellations

Campaigns are non-refundable once booked. You may move or delay your campaign to a future start date by providing at least seven (7) days’ written notice before the original start date. Requests must be sent to [email protected] and are subject to available inventory and SDN approval. Campaigns that have already started cannot be canceled, delayed, or changed.

4. Advertising Content

All ad content must comply with applicable laws, community standards, and SDN’s partner venue policies. SDN may reject, remove, or request modification of content that is illegal, misleading, offensive, infringes third-party rights, or conflicts with venue agreements or brand guidelines. If content is rejected, you may submit replacement creative before the start date at no extra cost.

5. Campaign Delivery

SDN will make reasonable efforts to display your ad as scheduled. If technical issues, venue closures, or events beyond SDN’s control occur, SDN may extend the campaign to make up missed time or provide an equivalent replacement campaign at no additional charge. No cash refunds are provided for these adjustments.

6. Buyer Responsibilities

You are responsible for submitting creative that meets SDN technical specifications and deadlines, ensuring your ad is accurate and lawful, and confirming you have rights to all images, logos, and trademarks used.

7. Limitation of Liability

SDN is not liable for indirect, incidental, or consequential losses, including lost sales, revenue, or goodwill. In all cases, SDN’s total liability will not exceed the amount you paid for the affected campaign.

8. Force Majeure

Neither party is liable for delays or non-performance caused by events beyond reasonable control, such as power outages, weather, strikes, or government restrictions. In such cases, campaigns may be rescheduled without penalty.

9. Privacy

SDN collects and uses personal information only to process orders, deliver campaigns, and communicate about advertising. SDN does not sell or share personal data for unrelated purposes. A privacy policy may be provided separately upon request.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes will be resolved in the courts of Ontario.
